Terms of service

These terms govern the use of holdmark by the stores that install the app. The service is provided by Andrés Márquez Sánchez, Spanish tax ID 80090833A (hereinafter, "holdmark"). By installing the app, the store accepts them.
1. The service
With read-only permissions, holdmark reads the store's orders, shipments, refunds and disputes on Shopify, and asks the carriers for the status of the shipments. From that data it works out facts under public rules that are the same for every store, and publishes them in the store's record on holdmark.org.
The app creates, changes and deletes nothing in the store, and it does not modify its theme: it is the store that decides whether to place the badge and where.
2. Who may use it
holdmark is a service for businesses and professionals that sell online. Whoever installs it declares that they act on behalf of the store and have authority to accept these terms.
3. Plans and payment
- Registry: free, with no time limit. It includes the full public record, the store's exact figures and its margin against the rules, in the app.
- Verified: €69 per month. It adds the badge on the product page, the marks, where record visits come from, the A/B test and the facts in the product-page code for search engines and assistants.
- Trial: Verified has a free 14-day trial, offered once the store's data has finished loading.
- Billing: handled by Shopify, on the store's invoice, through its app billing system.
- Your orders set the tier: the applicable plan is worked out from the orders of the last full month, which holdmark already reads. The store declares nothing. If it goes over its tier in a month, the app says so. If it goes over for two full months in a row, the badge, the marks, the visit sources and the A/B test stop working until the store moves up a plan; they come back as soon as it does. The public record is never touched for this reason: it keeps being calculated and published exactly the same, free, like that of any other store.
- No lock-in: the store can change plan or cancel whenever it wants, from the app.
4. Paying does not change what is published
A store's record is the same on Registry and on Verified: same rules, same figures and same content for buyers and for AI assistants. With Verified the store pays to show it on its own website and for the tools in the app, never to look better. holdmark accepts no payment, arrangement or request to change a figure.
5. How things are published
- Favourable figures are rounded down and unfavourable ones rounded up.
- Exact sales and the countries a store sells to are never published: only volume bands and delivery times for the country of whoever is looking.
- A fact is published only when there is enough data. If there is not, the record explains it in a neutral sentence and the badge does not appear.
- The rules may be improved. Any change applies to every store at once, is announced in the app and is recorded with its version number.
6. What the store undertakes to do
- Not to manipulate the data the facts depend on: fake orders, false tracking numbers, simulated refunds or any other practice meant to alter the result. holdmark runs integrity checks and may suspend publication while it looks into an anomaly.
- To use the badge and the marks exactly as the app delivers them, without modifying them, imitating them or displaying them when the app does not.
- If it switches on the A/B test, to have a privacy notice that collects its visitors' consent to analytics. The badge only measures those who have accepted.
7. Personal data
For the data from its orders and from its store's visitors, holdmark processes data on the store's behalf as a data processor (article 28 GDPR): only to provide this service, with appropriate security measures, with the providers listed in the privacy policy and deleting it when the service ends.
8. Uninstalling the app
The store can uninstall holdmark whenever it wants. When it does, Shopify asks us to delete its data (normally after 48 hours) and we delete the downloaded orders, the tracking data and the public record.
9. Liability
holdmark publishes facts measured using the sources and rules described, and takes reasonable care to get them right. It does not guarantee commercial outcomes, such as more sales or more trust, nor that the service will always be available. If an external source (Shopify, a payment processor or a carrier) returns wrong data or stops responding, holdmark will correct it as soon as it notices.
Save for wilful misconduct or gross negligence, holdmark's liability is limited to what the store has paid over the preceding 12 months.
10. Suspension
holdmark may suspend the service to a store that breaches these terms, in particular if it manipulates its data. It will say so in the app, with the reason.
11. Changes to these terms
If they change, we will give notice in the app at least 30 days in advance. If the store does not agree, it can uninstall the app before they take effect.
12. Law, jurisdiction and languages
These terms are governed by Spanish law.
These terms are published in Spanish, English, German, French, Italian and Portuguese. The translations are provided so that they can be understood; in the event of any discrepancy between versions, the Spanish one prevails, as it is the version drafted under the applicable law and the one that binds the parties.
